These Terms and Conditions of Service (“Terms”) govern your access to and use of the services provided by Coastal Measures, Inc., a New Hampshire corporation (“Coastal Measures,” “Company,” “we,” “our,” or “us”), including our websites, software platforms (including CUMULUS), APIs, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Acceptance of Terms

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.

2. Services Provided

Coastal Measures provides cloud-based tools and services for the collection, ingestion, integration, standardization, analysis, and visualization of environmental and ocean-related data, including data from public, private, and customer-provided sources. The Services may include analytics, forecasts, AI-assisted insights, dashboards, APIs, and related functionality. Certain features may rely on third-party services or integrations.

3. Third-Party Payment Processing

Where applicable, payments for Services are processed by Stripe, a third-party payment processor. By using paid Services, you agree that your payment information will be processed by Stripe and subject to Stripe’s terms and privacy policies. Coastal Measures does not store full payment card information and is not responsible for Stripe’s services or systems.

4. Data Rights, Use, and Ownership

4.1 Customer Data

“Customer Data” means data, content, or information submitted to the Services by or on behalf of you, including sensor data, uploads, and configuration metadata. As between you and Coastal Measures, you retain ownership of your Customer Data, subject to the licenses granted below.

4.2 License to Use Customer Data

You grant Coastal Measures a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, analyze, and display Customer Data solely as necessary to provide and operate the Services, improve system performance, reliability, and security, and perform analytics, quality control, and troubleshooting.

4.3 Aggregated and De-Identified Data

Notwithstanding anything else in these Terms, you acknowledge and agree that Coastal Measures may aggregate Customer Data with data from other customers or public sources and de-identify such data so that it does not reasonably identify you, your organization, or any specific individual or asset. Coastal Measures retains all rights, title, and interest in such aggregated and de-identified data and may use it for developing, training, validating, and improving analytical models and AI systems, producing benchmarks, statistics, and general insights, research, publications, product development, and knowledge sharing, and commercial and non-commercial purposes. Such aggregated and de-identified data will not be used to re-identify you or disclose confidential or proprietary information.

4.4 Company Data and Platform Intellectual Property

All platform software, models, algorithms, workflows, schemas, documentation, and derived outputs (excluding Customer Data) are and remain the exclusive property of Coastal Measures.

5. User Responsibilities

You agree that you will comply with all applicable laws and regulations, have the right to submit any Customer Data you provide, are responsible for the accuracy, legality, and integrity of Customer Data, and will not interfere with or disrupt the Services, infrastructure, or security.

Privacy Policy

Our Privacy Policy describes how we collect and use personal information and is incorporated into these Terms by reference. By using the Services, you consent to our Privacy Policy.

7. Disclaimer of Warranties

The Services are provided “as is” and “as available.” Coastal Measures makes no warranties, express or implied, including warranties of accuracy, completeness, fitness for a particular purpose, or non-infringement. Environmental and predictive outputs are informational and should not be relied upon as the sole basis for decisions involving safety, compliance, or financial risk.

8. Limitation of Liability

To the maximum extent permitted by law, Coastal Measures shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services, including loss of data, loss of revenue, or interruption of operations.

9. Indemnification

You agree to indemnify and hold harmless Coastal Measures and its officers, directors, employees, and affiliates from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

10. Modifications to Terms

We may update these Terms from time to time. Changes become effective upon posting or notice. Continued use of the Services constitutes acceptance of the revised Terms.

11. Termination

We may suspend or terminate access to the Services at our discretion. Upon termination, provisions relating to data rights, intellectual property, limitation of liability, and indemnification will survive.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Hampshire. Any dispute shall be resolved by binding arbitration in Greenland, New Hampshire, in accordance with the rules of the American Arbitration Association.
